The combined company will be listed on stock exchanges in both Spain and Italy, which Cirsa and Lottomatica are already market leaders in.Italy accounted for 57% of a combined group pro format adjusted EBITDA in H1. Spain made up 23% of that figure, with Rest of World at 20%.
Once the deal is completed, 80% of its EBITDA is expected to come from those two markets.
According to the deal investor deck, the combined group expects online betting and gaming to be its largest vertical, as it accounted for 48% of the group’s combined pro forma adjusted EBITDA in H1.

The president’s critical view of betting is on par with other candidates. Studies by the Workers’ Party (PT) indicate that three out of four Brazilians are against betting establishments. This is the president’s justification against the sector.
What the president didn’t address is the tax revenue from betting.
In 2025, Brazil collected almost BRL10 billion ($1.97 billion) in tax revenue from the licensed sector. In the first seven months of this year alone, BRL8.7 billion generated by the activity was delivered to public coffers. The Federal Revenue Service itself estimates that the sector should reach BRL16 billion in revenue during 2026.

Çelik said: “If we can eliminate this sector, we will also minimise the funds flowing into the hands of the next criminal organisation.”
The president of the Turkish Green Crescent Society, Associate Professor Mehmet Dinç, expanded on this point, highlighting the relationship between supply and demand in the fight against illegal betting.
“In the fight against gambling, combating supply alone is not enough,” he said. “Combating demand alone is not enough; merely shutting down websites is not enough. This is an ecosystem: it starts with advertisements and continues through social media, sporting activities, influencers, games, mobile applications, payment systems, loans, bets, losses, debt and continued betting.”
